Contract Disputes

A contract dispute can put an operating relationship on hold while invoices, deliverables, or ownership rights remain unresolved. Jayakumar Law represents parties on both sides of business-contract claims. The first task is to read the agreement against what actually happened—not just the clause that looks favorable in isolation.

What the Deal Required

Payment terms, milestones, acceptance procedures, notice and cure provisions, limitations on damages, and choice-of-law clauses can change the shape of a case. So can amendments and the parties’ conduct after signing. We gather the contract record early: drafts where relevant, emails, performance documents, invoices, and the communications that show when the relationship began to break down.

Claims and Defenses

Our work includes disputes over services, supply arrangements, licensing, business purchases, confidentiality obligations, and unpaid amounts. We evaluate whether performance was due, whether a material breach occurred, what losses can be shown, and whether a defense or counterclaim changes the economics of the matter. A demand letter, a response, or a targeted motion can sometimes resolve a dispute before full discovery.

A Business Decision at Every Stage

Not every win in court is a good commercial result. We discuss collection risk, the cost of proof, and the value of preserving or ending the relationship. When litigation is necessary, we build a record aimed at the issues that will decide the case, while keeping settlement options open on terms the client can use.

Delivering strong, dependable legal solutions for every client.
